NON-DISCLOSURE AGREEMENT — SIGN AUTHORITY BETA
This Non-Disclosure Agreement (“Agreement”) is entered into between Miles-Maharaja LLC, DBA Sign Authority (“Company”), and the individual identified below (“Participant”).
1. Confidential Information. Sign Authority is pre-release software currently in private beta. All features, designs, workflows, pricing, roadmap, performance data, and feedback are confidential and proprietary to the Company. Confidential Information does not include information that is or becomes publicly available through no fault of Participant, or that Participant can demonstrate was known to them prior to this Agreement.
2. Non-Disclosure. Participant agrees not to disclose, reproduce, or share any Confidential Information about Sign Authority with any third party without prior written consent from the Company. Participant may share information internally within their organization on a need-to-know basis, provided those individuals are made aware of this Agreement.
3. Beta Disclaimer. Sign Authority is pre-release software provided for evaluation purposes only. Outputs may contain errors or omissions. Participant agrees not to rely on Sign Authority outputs for fabrication, compliance, or any other professional purpose without independent verification. Company makes no warranty, express or implied, that any output is accurate, complete, or compliant with applicable standards.
4. Participant Data. Participant may upload project files, floor plans, sign schedules, and other materials during the beta period. Company will not share this data with third parties. Data may be retained for product improvement purposes. Participant may request deletion of their data at any time by contacting the Company.
5. Feedback License. Any feedback Participant provides may be used by Company for product development and improvement. Participant grants Company a non-exclusive, royalty-free, perpetual license to use such feedback without compensation or attribution.
6. No Reverse Engineering. Participant will not attempt to decompile, reverse engineer, disassemble, or extract source code from any component of Sign Authority.
7. Term. This Agreement remains in effect for two years from the date of signing, or until Sign Authority is publicly released, whichever comes first. Obligations with respect to Confidential Information disclosed during the beta period survive termination.
8. Governing Law. This Agreement is governed by the laws of the State of California. Any disputes arising under this Agreement shall be resolved in the courts of the State of California.
9. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the beta program and supersedes any prior discussions or agreements relating to confidentiality.
